As “A Global Solution Partner committed to creating new value,” we will continue to make tireless efforts and put our principles into practice to help resolve sustainability challenges through our core business activities. Through these initiatives, we aim to achieve sustainable growth and enhance medium- to long-term corporate value by balancing "social sustainability" and "corporate sustainability." Based on this fundamental approach, we have established the "MIRAINI Group Basic Sustainability Policy."
MIRAINI Group Basic Sustainability Policy
As the basic policy for promoting sustainability management, the MIRAINI Group:
Has identified materialities aimed at balancing "social sustainability" and "corporate sustainability," and strives to contribute to value creation for our customers and society by promoting continuous innovation that leverages our strengths and business co-creation with diverse stakeholders.
Will enhance ESG awareness and work to improve supply chain sustainability and strengthen our capabilities through initiatives addressing environmental issues and business and human rights, as well as through human resources development based on human capital management and establishment of corporate governance with a high degree of adaptability to laws, regulations, and social requirements.
Will maintain and enhance sound and constructive relationships with diverse stakeholders through appropriate information disclosure and proactive communication, thereby contributing to the sustainable development of society.
Will continuously implement sustainability-related education and awareness-building activities for employees to foster company-wide sustainability awareness and cultivate a sustainability-oriented corporate culture.

The MIRAINI Group has established a Sustainability Promotion Committee (chaired by the Representative Director, President, Executive Officer) under the supervision of the Board of Directors. Important matters discussed by this Committee are resolved by the Management Meeting and subsequently reported to the Board of Directors.
In business operations, the Management Meeting and the Sustainability Promotion Committee collaborate to deepen discussions on internal and external sustainability-related issues, thereby enhancing the effectiveness of management decisions and initiatives aligned with the Group’s business strategy.
In addition to discussing key sustainability policies, the Sustainability Promotion Committee will monitor the progress of working groups (composed of members from key departments, including our group companies) promoting each theme, thereby optimizing and ensuring the reliable implementation of sustainability measures in each of our group companies. Through this organizational structure, we will build a group-wide sustainability promotion foundation and strengthen our activities, while working to improve corporate value in the medium to long term by promoting and deepening group-wide sustainability management.

As the starting point for MIRAINI's sustainability initiatives, we have identified four material issues and their associated "key themes" that we will address going forward. Through these themes, we will enhance the clarity of our initiatives while envisioning both the "sustainable society we aspire to create" and "the future growth of our group."
We will continue to deepen and refine our sustainability initiatives while appropriately reviewing our material issues in line with our future growth stages.
The material issues were approved by the Board of Directors of MIRAINI Holdings in April 2026.
Hagiwara Electric Group will strive to create new value through its business activities, guided by the four material issues and associated key themes established by the MIRAINI Group.
In "Enhancing Earnings Power," we will promote business activities based on two perspectives of the relationship between business activities and sustainability activities. While appropriately and organically linking material issues, we will pursue a sustainability approach that is unique to the Hagiwara Electric Group and aim to evolve our activities.
The Hagiwara Electric Group is promoting the expansion of value provision through a solutions-oriented approach in Electronic Devices Business and Technology Solutions Business, which play a core role in our Group, and has set "expanding delivered value and reforming profit structure through a solutions-oriented approach" as a priority theme. By leveraging engineering services and data utilization, we will innovatively evolve our conventional business model and stably support the growth of a resilient supply chain while appropriately meeting customer needs. We will support the realization of the future mobility society and manufacturing sites, and the development and evolution of their application areas.
A key theme of our Group is “Creating New Value through Business Innovation” by leveraging our various expertise and assets, including the mobility business. Through collaboration between Electronic Devices Business and Technology Solutions Business, discovery of businesses in growing markets through data utilization services and AI technology, and collaboration with other companies to create businesses, we will be able to realize technological innovation and create sustainable products and services. By expanding value delivered through the creation of new businesses, we will expand our areas of contribution to social issues and realize a sustainable society and the growth of our group.

Top management recognizes that realizing the principles of this Code is crucial for the operation, sustainability, and growth of the MIRAINI Group. By leading by example, top management will establish effective governance and ensure that the Code is disseminated and implemented throughout the organization and among relevant stakeholders.
In the event of a serious incident that violates this Code, top management will personally take responsibility for resolving the issue, identifying the root cause, and taking measures to prevent recurrence. Furthermore, rigorous and impartial disciplinary action will be taken, including against top management where appropriate.
